The Key 2026 Change: From a Two-Thirds Majority to Simple Majority (“P+1”)

For years, the biggest bottleneck in Turkey’s urban transformation process was the voting threshold required for owners to reach a decision. In buildings with hundreds of units, or where inheritance had split ownership among many heirs, reaching a two-thirds majority was often practically impossible — and a single dissenting owner could block a building’s transformation for years. A regulatory change published in the Official Gazette on 4 February 2026 fundamentally changed this picture. This article looks at what the new system introduced, and who benefits and who carries more risk under it.

Why the Old System Was a Problem

Under the original implementation of Law No. 6306, critical decisions on risky buildings — demolition, rebuilding, and choosing a contractor — required at least a two-thirds majority based on ownership shares. This threshold was rooted in a strict view of property rights, but in practice it created serious difficulties:

  • In buildings with many co-owners, especially those split by inheritance, reaching a near-unanimous threshold was extremely difficult.
  • A single owner refusing to participate — for reasons ranging from price expectations to family disputes to simple unreachability — could lock the entire building out of the process.
  • Buildings carrying genuine earthquake risk could remain untransformed for years due to this legal deadlock.

The Legal Groundwork

The first step toward resolving this problem was Law No. 7471, published in the Official Gazette on 9 November 2023, which created the legal basis for decisions to be taken by simple majority. This was then operationalized by the Regulation Amending the Implementing Regulation of Law No. 6306, published in the Official Gazette (No. 33158) on 4 February 2026, which restructured the procedural rules and put the simple-majority system into actual practice.

What the New “P+1” System Means

Under the new rules, decisions affecting a parcel with a risky building — demolition, rebuilding, choosing a contractor, or a sale — can now be taken by a simple majority based on ownership shares. The shorthand “P+1” refers to support from owners holding more than half of the total ownership shares; unanimity or a two-thirds majority is no longer required.

In practical terms, this means that with the backing of owners holding the majority of shares, a single dissenting owner in the minority can no longer bring the whole process to a halt.

The New Procedure: A Meeting Is Now Mandatory

Under the old practice, signatures could be collected directly without owners ever meeting. Under the new rules, a properly convened meeting is now mandatory for parcels with a risky building. The call to this meeting is made using the Annex-12 (Ek-12) form specified in the regulation; a request from even a single owner is enough to trigger the call.

Notification of the meeting call and of any decision taken must follow specific channels:

  • Posting at the local muhtar’s office (the notice stays up for 15 days)
  • Posting on the building’s entrance notice board
  • Notification through a notary
  • Electronic notification via the e-Devlet government portal

The last day of the posted notice is deemed to be the date on which all owners have been notified; deadlines run from that date. Meeting invitations and minutes must now be included in the application file.

What Happens to a Dissenting Owner

Once a dissenting owner (one in the minority against a simple-majority decision) has been formally notified, that owner has 15 days to review the offer and communicate a decision. If the owner does not consent within that period, their share of the land can be sold — to the other owners or to third parties — at a price no lower than fair market value. Where appropriate, the owner may also retain the right to acquire a unit or commercial space in the new building. We cover this in depth in a separate article in this series.

Consolidated Parcels

The regulation also provides that where several parcels are merged (tevhit) into a single new parcel, the same simple-majority rule applies to decisions on the resulting parcel. This standardizes decision-making for larger, block-level transformation projects.

What This Means for Property Owners

The new system allows owners holding a majority of the shares to move the process forward much faster. This does not mean a minority owner is left unprotected: the formal notification procedures, the 15-day response window, and the guarantee of fair market value are meaningful safeguards for minority owners. Every owner should follow any notification addressed to them closely and seek legal advice within the response period.

What This Means for Contractors

For contractors, this change significantly speeds up the start of a project — there is no longer a need to wait until every single owner is persuaded. At the same time, ensuring the meeting call, notifications, and minutes are handled exactly as the regulation requires is now critical to a complete application file; a procedural error in these documents can expose the whole process to later legal challenge.

Frequently Asked Questions

What exactly does “P+1” mean? It means support from owners whose combined ownership shares exceed half (P) of the total, plus one — a threshold based on ownership share, not a literal headcount of “51%.”

What if an owner doesn’t attend the meeting? Once proper notification has been given, not attending the meeting does not affect the validity of the decision; the absent owner’s rights to object and to respond within 15 days remain in place.

Does this change apply to transformation processes that were already underway? It applies to decisions taken after the regulation entered into force; for ongoing files, it is worth having a lawyer review the specific situation.

Conclusion

The 2026 change removed the single biggest practical obstacle in urban transformation and has significantly sped up the process. A faster process, however, does not make procedural compliance less important — if anything, getting the meeting, notification, and documentation rules exactly right now matters more than ever, for both owners and contractors.

What Is “Kentsel Dönüşüm” (Urban Transformation) in Istanbul? A 2026 Step-by-Step Guide

Anyone who owns property, rents, or invests in Istanbul will eventually run into the term “kentsel dönüşüm” — Turkey’s urban transformation program. For property owners and contractors alike, understanding the legal basis, the stages of the process, and the rules that changed in 2026 is essential to moving through it quickly and safely. This article explains what urban transformation is, who is involved, and how the current process works from start to finish.

The Legal Basis

Turkey’s urban transformation framework rests on Law No. 6306 on the Transformation of Areas Under Disaster Risk, in force since 2012. Its core purpose is to identify older buildings that carry earthquake risk, replace them with structures that meet current construction standards, and do so within a predictable legal framework rather than leaving renewal to informal negotiation.

The authority responsible for implementing the law is the Presidency of Urban Transformation (Kentsel Dönüşüm Başkanlığı). It issues and periodically updates the implementing regulations that govern risk assessments, owner decision-making, contractor procedures, and financial support mechanisms. 2026 saw one of the most fundamental changes to the decision-making rules in the program’s history — a change we cover in detail in the next article in this series.

Who Is Involved

A typical urban transformation file involves several parties:

  • Owners (malikler): The holders of title to the individual units — flats, shops, offices — in the building. Owners carry the greatest share of rights and obligations throughout the process.
  • The contractor (müteahhit): The construction company that undertakes the demolition and rebuilding, typically under a “build-for-share” model agreed with the owners.
  • The construction supervision company (yapı denetim kuruluşu): An independent firm that checks the build against the approved project, structural calculations, and applicable regulations.
  • The Presidency of Urban Transformation and authorized institutions: The administrative bodies that approve the risk assessment and oversee the process under the law.
  • The municipality: The local authority responsible for building permits, zoning status, and occupancy approval.

The Stages of the Process

A typical urban transformation process in Istanbul moves through the following stages:

1. Risky building assessment

The process begins when a unit owner applies to an institution authorized by the Presidency to have the building inspected for earthquake risk. A technical team examines the load-bearing structure and produces a risk report. If the building is found “risky,” this is recorded as an annotation on the title deed. We cover this stage in more depth in a separate article.

2. The owners’ meeting and decision

Once the risky-building finding is final, the owners must decide whether to demolish and rebuild or to reinforce the existing structure. As of 2026, this decision can be taken by a simple majority based on ownership share — informally called “P+1,” meaning more than half the shares — rather than the two-thirds majority previously required. We explain the procedural details of this decision in the next article.

3. Choosing a contractor and signing a contract

If the owners decide to demolish and rebuild, they need to reach an agreement with a contractor. This is usually structured as a “build-for-share” construction contract (kat karşılığı inşaat sözleşmesi), under which the owner transfers their share of the land and receives one or more units in the new building in return. Because this contract transfers rights in real property, it must be executed in the formal manner required by Turkish law — before a title registry office or a notary — for it to be valid and enforceable.

4. Permits, demolition, and construction

The contractor obtains a building permit from the municipality, the existing structure is demolished, and construction begins. Throughout this stage, an independent construction supervision company checks that the build matches the approved project and complies with applicable regulations.

5. Delivery

Once construction is complete, the finished units are handed over to the owners and the title transfer is completed at the land registry.

How Long Does It Take?

Timelines vary considerably depending on the size of the building, how quickly the owners reach agreement, and the contractor’s capacity. The time between applying for a risk assessment and receiving an approved report is expected to shorten as digitalization of the process continues. The new simple-majority rule is also significantly speeding up buildings that had been stalled for years by a single dissenting owner.

What This Means for Property Owners

Urban transformation is not just a construction project — it is a legal process that touches ownership rights, the family home, and often a lifetime of savings. Every document signed along the way — meeting minutes, the construction contract, the handover record — will matter if a dispute arises later. Keeping written records at every step, and consulting a lawyer before signing anything, prevents avoidable losses down the line.

What This Means for Contractors

For contractors, urban transformation represents significant business opportunity, but also legal and financial risk that has to be actively managed: disputes among owners, title irregularities, delays in permitting, and guarantee obligations all have a direct effect on whether a project finishes on time and profitably.

Frequently Asked Questions

Is entering the urban transformation process mandatory? Once a building is officially found to be “risky,” the law expects the transformation process to be initiated; failing to start it can expose owners to administrative measures and, more importantly, ongoing safety risk.

Do all owners need to agree unanimously? No. As of 2026, a simple majority based on ownership share (“P+1”) is sufficient — unanimous consent is not required.

Does the process affect tenants too? Yes — tenants are directly affected by matters like eviction timing and rent assistance. We cover this in a later article in this series.

Conclusion

Thanks largely to the 2026 change in the decision-making rule, the urban transformation process can now move considerably faster than in previous years. Every stage, however, still calls for careful legal attention. Throughout this series, we address each stage of the process separately for property owners and for contractors.

📍 Yetkili Mahkeme:

🔹 Kira tespit davalarında yetkili mahkeme, kiralanan taşınmazın bulunduğu yer mahkemesidir.

🔹 HMK 12. madde gereği, taşınmaz davalarında yetki sözleşmesi yapılamaz, yetki kesin olup taşınmazın bulunduğu yer mahkemesi yetkilidir.

🔹 Yanlış yerde dava açılırsa, yetkisizlik nedeniyle süre kaybı yaşanır.

📍 Görevli Mahkeme:

🔹 Kira tespit davalarında görevli mahkeme, Sulh Hukuk Mahkemesidir. (HMK 4/1-a)

📍 Mahkeme, bilirkişi incelemesi yaparak yeni kira bedelini belirler.
